1. Agreement to Terms
Welcome to LazyLabs. These Terms of Service ("Terms") govern your relationship with LazyLabs ("we", "us", "our"), an independent software studio operating in Belgium, European Union, and your use of our websites, micro-SaaS platforms, and digital applications, including but not limited to PanicDM and WanderLabs (collectively, the "Services").
By creating an account, purchasing access, or utilizing any of our Services, you confirm that you are at least 18 years old (or have attained the legal age of majority in your jurisdiction) and agree to be legally bound by these Terms.
2. Description of Services & License Grant
LazyLabs produces indie digital tools and gamified experiences:
- PanicDM: An AI-assisted emergency encounter generator and digital assistant for tabletop Game Masters (supporting D&D 5e, Daggerheart, and compatible open rulesets).
- WanderLabs: A gamified activity and mission manager designed to turn family routines, trips, and vacations into cooperative real-world quests.
Subject to compliance with these Terms, LazyLabs grants you a personal, worldwide, non-exclusive, non-transferable, revocable license to access and use our software for personal or permitted commercial game-mastering use.
3. Digital Credits, Subscriptions & Token Packs
Certain features of our Services (such as high-speed generation tokens within PanicDM) are unlocked via recurring subscriptions or digital credit packs.
- Consumable Credits: Digital tokens or encounter credits represent a limited license right to trigger automated generation workflows. They do not constitute monetary balances, property, or legal currency, and cannot be redeemed for fiat currency.
- Fair Usage: To ensure service reliability for all users, API requests and encounter generation pipelines are governed by automated rate-limiting and anti-abuse safeguards.
4. Merchant of Record & Billing (Paddle)
All payment processing, orders, and commercial checkouts for LazyLabs software are processed by our authorized Merchant of Record, Paddle.com Market Ltd (or its EU affiliate Paddle Payments Ireland Ltd).
When you purchase a license, token pack, or subscription:
- Paddle acts as the legal seller of record and will be named on your credit card or payment statement.
- Paddle handles all invoicing, local sales taxes (including European VAT and US state sales taxes), and payment compliance under PCI-DSS standards.
- Your purchase is also subject to Paddle's checkout terms and conditions.
5. Cancellation & Refund Policy
We want you to be fully satisfied with our tools.
- EU Consumer Statutory Withdrawal: In accordance with European Union consumer legislation regarding digital content and services, you have the right to withdraw from a purchase within 14 days without giving reason. However, if you consent to immediate provision of digital content (e.g. consuming generation credits or downloading license assets immediately upon checkout), you acknowledge that your statutory right of withdrawal ceases once the digital service has commenced.
- Technical Issues & Defect Guarantee: If you experience technical defects, unexpected billing errors, or service downtime preventing credit consumption, contact our support team at [email protected] within 14 days of purchase. We will promptly investigate and issue refunds or credit reinstatements where warranted through Paddle.
6. Acceptable Use Policy
You agree not to:
- Reverse-engineer, decompile, disassemble, or derive source code from any portion of LazyLabs applications.
- Circumvent, tamper with, or bypass authentication tokens, license verification, or rate-limiting thresholds.
- Utilize automated scripts, spiders, or scrapers to extract data from our web applications without express written permission.
- Use generation endpoints to produce unlawful, defamatory, harassing, or infringing content.
- Resell, sublicense, or rent your individual account credentials or access keys to third parties.
7. Intellectual Property Rights
All copyrights, trademarks, logos, interface designs, databases, source code, and brand elements associated with LazyLabs, PanicDM, and WanderLabs are the exclusive property of LazyLabs and its licensors.
Third-Party Gaming Trademarks: Dungeons & Dragons and D&D are registered trademarks of Wizards of the Coast LLC. Daggerheart is a trademark of Darrington Press LLC. Any reference to these game systems in connection with PanicDM is made strictly under fair use principles or applicable Open Gaming Licenses / System Reference Documents to designate software compatibility. LazyLabs is an independent studio not affiliated with or endorsed by Wizards of the Coast or Darrington Press.
8. Limitation of Liability
To the maximum extent permitted by applicable Belgian and European law, LazyLabs provides its Services "AS IS" and "AS AVAILABLE" without express or implied warranties. In no event shall LazyLabs be liable for indirect, incidental, consequential, or punitive damages arising out of your access or inability to access the Services.
9. Governing Law & Dispute Resolution
These Terms and any contractual disputes shall be governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles. Any legal proceedings shall be submitted to the exclusive jurisdiction of the competent courts in Ghent, Belgium.
